You should carefully read the following terms and conditions before downloading an evaluation copy, only an Authorized Representative of the purchaser should download an evaluation copy. By loading or using the Ohio EMS Reporting Software, you agree to the terms of this Agreement. If you do not wish to agree, do not install or use the software.

NFocus Consulting Inc Software Evaluation Agreement

NFocus Consulting Inc. and the party who downloads and installs an evaluation copy hereby agree as follows:

Materials - The downloaded file contains evaluation program and test data files.

Terms - This evaluation license is effective for 30 days from date of evaluation program installation. You may terminate it at any time by destroying the materials and all copies of any material made from the original materials and notify NFocus Consulting Inc. immediately. This license will terminate automatically upon breach of any of the conditions of this license. Upon any such termination you shall agree to destroy all the copies of the materials.

License - NFocus Consulting Inc. hereby grants you a non-exclusive right to use the enclosed software and materials on a single microcomputer or network workstations subject to the terms hereof. You agree not to (a) rent, lease, sub license, or otherwise transfer any of the materials, (b) remove or obscure our proprietary notices, (c) translate, alter, decompile or disassemble any of the materials, (d) copy any of the materials without our prior written consent. You will not remove the copyright notice from the software.

Confidentiality - By accepting this license you receive the right to use the materials as specified herein, but you do not become the owner of the materials. The materials are protected by trade secret, copyright and trademark law. You acknowledge that the materials are NFocus Consulting Inc.'s property and contain valuable, confidential, unpublished information developed by NFocus Consulting Inc. at a great expense. You agree to protect the materials from unauthorized reproduction, distribution, disclosure, and use of publication. You may not transfer any materials or software to anyone or entity without the written consent of NFocus Consulting Inc. authorized personnel.

U.S. Government Restricted Rights - The software and documentation were developed at private expense and are provided with "RESTRICTED RIGHTS". Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR 52.227-14 and DFAR 252.227-7013 et seq. or its successor.

Export Laws - You agree that the distribution and export/re-export of the software is in compliance with laws, regulations, orders or other restrictions of the U.S. Export Administration Regulations.

Exclusions - Except as provided above, the software is provided "AS IS" without any express or implied warranty of any kind. NFocus Consulting does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

General - This license shall be governed by the laws of the state of Ohio and the United States, including patent and copyright laws. Any claim arising out of this Agreement will be brought in Fairfield County, Ohio. All prior correspondence oral or written including without limitation, all understandings with respect to materials are hereby superseded. This license constitutes your and our agreement and understanding regarding the materials.

This evaluation program is provided free of charge for 30 days to the registered requestor of the evaluation software and is to be used solely as an evaluation copy. In no event will NFocus Consulting Inc. be responsible for any damage beyond the amount of the license fee or for any indirect, special, incidental, consequential or similar damages or profits to you or any other person, or entity, regardless of the legal basis. Even if NFocus Consulting Inc. has been advised of the possibility of such damages, except to the extent applicable state law specifically prohibits such exclusion.
